Wispeo Terms of Service
Thank you for choosing Wispeo! Our team looks forward to providing valuable services to its customers, but in order to do so, users and customers need to understand the conditions under which we will provide services. By using the Wispeo website and its associated file transfer services, all users agree to and explicitly accept the terms of service below including privacy and content removal policies. These Terms and Conditions and associated Privacy Policies (“Terms”) are a binding agreement between Wispeo users, who are senders and recipients of files (“You”) and Mainstream Data, Inc. (“Wispeo”), the sole owner of beta.wispeo.com, www.wispeo.com, qa.wispeo.com and our mobile applications (“Website”). By using our features, including the transmission and transcoding (“Service”) of the files you submit (“Content”), You become bound by the Terms outlined in this document.
Wispeo may change or update these Terms at any time and will provide updated Terms for You to review on the Website. We urge You to make efforts to review the Terms from time to time. If at any point You do not agree to the Terms as provided, You may not continue using our Service or access the Website. Please note that any use of the Website or Service will be governed by these Terms.
Description of Service
Wispeo provides You with the ability to send Content to others using our technology and the internet. You may use the Wispeo Website at no charge to send digital files of up to 3 gigabytes in size with a maximum of 50 files per session. Wispeo may adjust or change the limits on file transfers at any time with or without notice.
Wispeo supports sending a variety of file types to designated recipients. All Contents remain on Wispeo’s servers, which may be hosted by a third party of Wispeo’s choosing, for up to 30 days, after which Wispeo deletes the Content and it is no long available to You. Deleted content cannot be recovered. You will receive notification emails that describe the status of each transmission session. This may include send confirmation, download availability, download confirmation, upcoming expiration notification, and expiration confirmation. You may configure transmission sessions to include a short descriptive message.
Content Ownership
Wispeo disclaims ownership in the Content that You send using our Service. Wispeo provides only the technology and infrastructure to provide its Services. You are wholly responsible for the Content that You send using our Service. By using the Service, You certify that You have all legal rights to transmit, transcode, deliver, and distribute the content. By using the Services you are not granting to Wispeo or any of its technology partners the right to use the Content or any ownership in, or intellectual property rights to the Content.
Warranty
Wispeo takes no responsibility for any Service failures including, not limited to storage, Content deletion or transfer failures, including any Service failures that may be a result of third party actions. Additionally, Wispeo takes no responsibility for failures in transcoding or other content modification and makes no warranty, expressed or implied, about the availability or quality of the Services. Further, Wispeo does not make any claims or take any responsibility regarding Content security and You acknowledge that anyone that receives a Wispeo link or has access to Your account may be able to view, download or otherwise acquire Your Content.
Advertisements
From time to time Wispeo may contract with companies or individuals to advertise their products and/or services on the Website. All files and content used for advertising purposes associated with the Services, including designs, trademarks, photography, video, or other materials used for advertising purposes, (collectively, “Advertising Content”) is intellectual property of the advertiser, and Wispeo disclaims all rights to the Advertising Content. Additionally, under no circumstances are You permitted to use, copy, resend, reproduce, sell or otherwise reuse the Advertising Content without the prior written consent of the Advertising Content rights owner. Further, Wispeo assumes no responsibility or liability for the content or claims made in any Advertising Content, services or products represented in the Advertising Content, or any of the links included in the Advertising Content, including any third-party websites. Wispeo assumes no responsibility or liability for any damages you might incur by accessing any websites you may reach either directly or indirectly from any links in the Advertising Content.
Usage Restrictions
Wispeo requires that you adhere to all of the restrictions listed below; your use of the Service assumes that You understand and agree to all of these conditions. Any use of Wispeo’s Website that infringes on the rights of others, including others’ intellectual property rights, is strictly prohibited and may cause You to lose the ability to use the Website.
Under no circumstances may You use the Website and/or the Services for sending, receiving or otherwise promoting content:
For which You don’t own appropriate intellectual property rights;
That infringes on the intellectual property rights of others;
That violates privacy rights of any kind;
That is not legal in the national, regional, state, provincial, city, or local jurisdiction in which You reside;
That is pornographic, including child pornography in any form;
That contains sexually explicit or violent material that is, in Wispeo’s sole discretion, unacceptable;
That advances or encourages hatred, violence, racism, sexism, or terrorism;
That contains unlawful material of any kind;
That is meant to impersonate, mislead or otherwise deceive;
That contains any malicious software including worms, trojans, viruses, spam, phishing schemes, unsolicited promotions, advertisements, or any other file type as deemed inappropriate by Wispeo or its representatives in their sole discretion.
At any point, Wispeo may remove or investigate, without prior notice or permission, any files from its servers or network. Wispeo, at its sole discretion, reserves the right to block You or any user from accessing the Website or using the Services. Further, Wispeo reserves the right to make files or other Content available to legal advisors and relevant courts of competent jurisdiction in order to defend itself in any legal proceedings or to assist in any criminal complaint. Wispeo reserves the right to disclose, at its sole discretion, any Content as necessary to abide by any laws or regulations, to adhere to any court orders, or to assist in protecting national security, public health, and public security.

Wispeo has created and operates mobile apps and websites that allow You to seamlessly and intuitively share and send files to others. In order to do so, Wispeo may collect information including email addresses, IP addresses, hashtags, location information and descriptive messages. This information is used to provide the Services to You, to monitor and maintain the Service, and to improve the Service in the future. Under no circumstances will we sell personal information to third parties or otherwise make this information available to others. By using our Service, You agree to the Terms and Privacy Policy described below.
Wispeo is located in Salt Lake City, Utah and is a wholly owned subsidiary of Mainstream Data, Inc. Our principal offices are located at: 375 Chipeta Way Suite B, Salt Lake City, Utah, 84108, USA. We have additional offices located in New York City, USA and Crawley, West Sussex, United Kingdom.
Wispeo takes Your privacy very seriously. We only collect as much personal information as is needed to provide, monitor and improve our Service. You are not required to log in, and accounts are not necessary to use the Service. In order to use the Service, however, You are required to provide a valid email address, email addresses of recipients, and the Content You send. Personal descriptive messages, hashtags and location information are optional.
To make Your user experience better, Wispeo may install a cookie to remember your email address and/or those of Your recipients. If You choose to use the Service, Wispeo will store your IP address, the email addresses of the sender and recipients, file names, file types, and file sizes. We may also store IP addresses for recipients downloading Content. Except as required by law, Wispeo does not retain personal information beyond 30 days. Wispeo has the legal right but not the legal responsibility to monitor the Content passing through its system, and may access that and other information for troubleshooting, legal compliance, technical support, and other purposes.
Wispeo makes data security a top priority and takes extends its best commercial efforts to avoid compromising personal information or making user information available to third parties. As is the case with many online services, Content and other associated data, including email addresses, IP addresses, geolocation and other information may pass through servers located around the world where United States and European Union law and data protections may not apply. By using the Service, You explicitly acknowledge and agree that Your Content and other information as described above may pass through servers and hardware based outside the United States and the European Union.
Only individuals 18 years or older are permitted to use the Services. Anyone under the age of 18 must have a parent or guardian’s approval to use the Service.
Wispeo reserves the right to update and to change this Terms and Privacy Policy at any time. Wispeo will make any updated Terms or Privacy Policies available to You on its website and through its mobile applications.
